Terms and Conditions

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and WAZOBIA Smartech LTD ("WAZOBIA", "Company", "we", "us", or "our") governing your access to and use of the WAZOBIA-invoice application ("App"), website, and related services (collectively, the "Services").

By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not download, install, or use the App.

3.1 Grant of License

Subject to your compliance with these Terms, WAZOBIA grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on devices that you own or control, solely for your personal or internal business purposes.

3.2 License Restrictions

You agree NOT to:

• Copy, modify, or distribute the App or any part thereof
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, sell, or sublicense the App
• Remove or alter any proprietary notices or labels
• Use the App to develop a competing product
• Attempt to gain unauthorized access to any systems or networks
• Use automated systems or software to extract data from the App
• Circumvent any security or access control measures

3.3 Reservation of Rights

All rights not expressly granted to you are reserved by WAZOBIA. The App is licensed, not sold. WAZOBIA retains all right, title, and interest in and to the App.

4. Eligibility

To use the App, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the App under applicable laws
• If using on behalf of a business, have the authority to bind that business to these Terms

5. Account Registration & Security

5.1 Registration

To use certain features of the App, you must register by providing accurate, current, and complete information about yourself and your business. You agree to update this information to keep it accurate and current.

5.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password and PIN
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your device is secure and protected

5.3 Account Accuracy

You represent that all information you provide is truthful, accurate, and not misleading. Providing false information may result in immediate termination of your account.

6. Subscriptions & Payments

6.1 Subscription Plans

WAZOBIA-invoice offers the following plans:

• All prices are in Nigerian Naira (₦) unless otherwise stated
• Payments are processed through secure payment providers
• Subscriptions automatically renew unless cancelled
• You authorize us to charge your payment method on a recurring basis

6.3 Cancellation & Refunds

• You may cancel your subscription at any time through the App
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused features
• Refund requests within 7 days of purchase may be considered on a case-by-case basis

6.4 Price Changes

We reserve the right to change subscription prices. You will be notified at least 30 days before any price increase takes effect. Continued use after the price change constitutes acceptance.

7. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. Acceptable uses include:

• Creating and managing invoices for legitimate business transactions
• Recording sales and payments accurately
• Managing customer relationships and communications
• Tracking inventory for your business
• Generating reports for business analysis and tax compliance
• Sending payment reminders to your actual customers

8. Prohibited Activities

You are strictly prohibited from:

8.1 Illegal Activities

• Using the App for any illegal or unauthorized purpose
• Creating fraudulent invoices or receipts
• Money laundering or financing terrorism
• Tax evasion or creating false tax documents
• Selling illegal goods or services

8.2 Harmful Activities

• Harassing, threatening, or defrauding other users or third parties
• Sending spam or unsolicited messages
• Impersonating any person or entity
• Collecting personal information without consent
• Interfering with other users' use of the App

8.3 Technical Violations

• Introducing viruses, malware, or harmful code
• Attempting to breach security measures
• Overloading or disrupting our systems
• Using bots, scrapers, or automated tools
• Accessing data not intended for you

9. Your Data

9.1 Ownership & Control

You retain full ownership and control of all User Content that you create or input into the App. WAZOBIA does not claim ownership of, and has no access to, your business data, customer information, invoices, or other content you create. Your data never leaves your device unless you explicitly choose to share or backup it.

9.2 No Data Collection by WAZOBIA

Due to our local-first architecture, WAZOBIA does NOT collect, process, or store your business data on any server. The only data we process is minimal subscription-related data (device ID and payment reference) solely for license verification purposes. We have zero knowledge of your invoices, customers, sales, or financial information.

9.3 Data Accuracy

You are solely responsible for the accuracy, quality, and legality of your User Content. Since WAZOBIA has no access to your data, we cannot verify the accuracy of invoices, receipts, or other documents you create.

9.4 Data Backup & Liability

You are solely responsible for maintaining backups of your data. Since your data is stored only on your device, WAZOBIA cannot recover lost data and is not liable for any data loss due to device damage, theft, malfunction, or user error. We strongly recommend regular backups using the in-app backup feature.

9.5 Data Privacy

Our privacy practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. Because we do not collect your data, we cannot sell, share, or lose it in a data breach.

10. Intellectual Property

10.1 WAZOBIA's IP

The App, including its design, features, functionality, code, graphics, logos, icons, and content, is owned by WAZOBIA and protected by Nigerian and international copyright, trademark, and other intellectual property laws.

10.2 Trademarks

"WAZOBIA", "WAZOBIA-invoice", "WAZOBIA Smartech", and associated logos are trademarks of WAZOBIA Smartech LTD. You may not use these trademarks without our prior written consent.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant WAZOBIA a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback without any obligation to you.

11. Third-Party Services

The App may integrate with or link to third-party services, including:

• WhatsApp for message delivery
• Email services for sending invoices
• Payment processors for subscription payments
• Cloud storage services for backups

Your use of third-party services is subject to their respective terms and privacy policies. WAZOBIA is not responsible for the availability, accuracy, or content of third-party services.

12. Disclaimers

12.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12.2 No Guarantees

WAZOBIA does not warrant that:

• The App will be uninterrupted, error-free, or secure
• The results obtained from the App will be accurate or reliable
• Any errors in the App will be corrected
• The App will meet your specific requirements

12.3 Tax & Legal Disclaimer

THE APP PROVIDES TAX CALCULATIONS AND REPORTS FOR INFORMATIONAL PURPOSES ONLY. WAZOBIA IS NOT A TAX ADVISOR, ACCOUNTANT, OR LEGAL PROFESSIONAL. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS FOR TAX AND LEGAL ADVICE. WAZOBIA IS NOT RESPONSIBLE FOR ANY TAX PENALTIES OR LEGAL ISSUES ARISING FROM YOUR USE OF THE APP.

12.4 AI Features Disclaimer

Edge AI features (voice assistant, camera scanner) may not always provide accurate results. You should verify all AI-generated outputs before relying on them for business decisions.

13. Limitation of Liability

13.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAZOBIA, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Loss of profits, data, or business opportunities
• Business interruption
• Cost of substitute services
• Any other intangible losses

13.2 Cap on Liability

WAZOBIA'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO WAZOBIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₦10,000, WHICHEVER IS GREATER.

13.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless WAZOBIA and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of third parties
• Your User Content
• Your business activities conducted through the App
• Any fraudulent or illegal activity by you

15. Termination

15.1 Termination by You

You may terminate your account at any time by deleting your data through the App settings or by uninstalling the App. Upon termination, your right to use the App ceases immediately.

15.2 Termination by WAZOBIA

We may suspend or terminate your access to the App immediately, without prior notice, if:

• You breach any provision of these Terms
• We suspect fraudulent or illegal activity
• We are required to do so by law
• We discontinue the App or Services

15.3 Effect of Termination

Upon termination, all licenses granted to you will terminate. You should export your data before termination. WAZOBIA is not obligated to retain your data after termination.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before initiating any legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at hi@wazobia-invoice.ng. We will attempt to resolve the dispute within 30 days.

16.3 Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties.

16.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

17. Changes to Terms

WAZOBIA reserves the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Sending an in-app notification or email for significant changes

Your continued use of the App after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the App.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WAZOBIA regarding the App and supersede all prior agreements.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. WAZOBIA may assign these Terms without restriction.

18.5 Force Majeure

WAZOBIA shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet failures.

18.6 Language

These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.
